Welcome to the website of Cavadi Content Creation, LLC (“Cavadi Content Creation,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website and your engagement of Cavadi Content Creation for writing, content creation, and related services.
By accessing or using this website, or by engaging Cavadi Content Creation for services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, please do not use this website or engage our services.
1. Services
Cavadi Content Creation provides freelance writing and content creation services. Services may include, but are not limited to:
- Articles and blog posts;
- Website content;
- Marketing and promotional copy;
- Research-based writing;
- Editing and proofreading;
- Ghostwriting;
- Copywriting;
- Content development; and
- Other writing or content-related services agreed upon by the parties.
The specific services to be provided for any particular assignment will be established in advance through a written proposal, email, statement of work, assignment confirmation, or other written agreement between Cavadi Content Creation and the client (“Assignment Agreement”).
These Terms apply to all services unless an Assignment Agreement expressly states otherwise. If there is a conflict between these Terms and a specific Assignment Agreement, the Assignment Agreement will control with respect to that particular assignment.
2. Independent Contractor Relationship
Cavadi Content Creation operates as an independent business and provides services to clients as an independent contractor.
Nothing in these Terms creates an employment relationship, partnership, joint venture, agency relationship, or other business relationship between Cavadi Content Creation and a client unless expressly agreed to in a separate written agreement.
Cavadi Content Creation is responsible for its own business operations, taxes, insurance, equipment, and ordinary business expenses associated with providing services.
3. Assignments and Scope of Work
Before beginning an assignment, the parties should agree upon the material terms of the engagement, which may include:
- The nature and scope of the requested content;
- The number or approximate length of deliverables;
- The applicable deadline;
- The agreed fee or hourly rate;
- The number of revisions included, if applicable;
- The intended use of the content;
- Any special formatting or submission requirements; and
- Any other material terms specific to the assignment.
Cavadi Content Creation is not obligated to perform work that falls materially outside the agreed scope of an assignment.
Requests for substantial additional work, additional revisions, expanded research, changes in direction, or other work outside the original scope may result in an additional fee. Any such additional fee will be discussed with the client before the additional work is undertaken whenever reasonably possible.
4. Fees and Payment
Unless otherwise agreed in writing, assignments will generally be performed for a lump-sum project fee agreed upon before work begins.
Cavadi Content Creation may also agree to perform services on an hourly basis when the parties mutually agree to an hourly rate before the work begins.
The applicable fee or hourly rate will be established in the Assignment Agreement or other written communication between the parties.
Payment Due Date
Unless a different payment schedule is agreed upon in writing before the content is submitted, payment for completed work is due on the first day of the calendar month following the month in which the agreed deliverable is submitted.
For example, a completed assignment submitted on August 15 would ordinarily be due for payment on September 1.
Any alternative payment schedule must be agreed upon before the content is submitted.
5. Late or Nonpayment
If payment is not received when due, Cavadi Content Creation may, at its discretion:
- Suspend or decline additional work for the client;
- Withhold delivery of unpaid deliverables;
- Suspend licenses or permissions granted under these Terms until payment is received;
- Require payment in advance for future assignments; and/or
- Pursue any other remedies available under applicable law.
Unless otherwise agreed in writing, the client may not use, publish, distribute, sell, license, or otherwise exploit unpaid work.
Any late-payment fees or collection costs will apply only if specifically agreed upon in writing or otherwise permitted by applicable law.
6. Client Responsibilities
The client agrees to provide information, instructions, source materials, access, approvals, and feedback reasonably necessary for Cavadi Content Creation to complete an assignment.
The client is responsible for ensuring that materials supplied to Cavadi Content Creation may lawfully be used for the requested assignment.
The client is also responsible for reviewing submitted content for factual accuracy, business requirements, legal compliance, regulatory requirements, and suitability for the client’s intended use before publication or distribution.
Delays in providing necessary information, materials, approvals, or feedback may affect the agreed deadline.
7. Revisions and Changes
Unless otherwise stated in an Assignment Agreement, the agreed fee covers only the work reasonably contemplated by the original assignment.
A request that materially changes the subject, purpose, structure, length, tone, or scope of an assignment may be treated as additional work.
Cavadi Content Creation will make reasonable efforts to accommodate requested revisions. Additional fees may apply when revisions exceed the scope originally agreed upon.
8. Content Ownership and Copyright
Unless otherwise agreed in writing, Cavadi Content Creation retains copyright ownership of original content created for a client until the client has paid all amounts due for that assignment.
Upon full payment, the client receives the rights to use the completed deliverable that were specifically agreed upon for the assignment.
Payment for an assignment does not, by itself, automatically transfer all copyright ownership to the client.
If a client requires an assignment of copyright or exclusive ownership of a completed work, that arrangement must be expressly agreed to in a separate written agreement or Assignment Agreement.
Any copyright assignment should identify the specific work and rights being transferred.
Cavadi Content Creation does not automatically agree that every commissioned work is a “work made for hire.” Where the parties intend a work to qualify as a work made for hire, the parties may enter into a separate written agreement addressing that arrangement, to the extent permitted by applicable copyright law.
9. Pre-Existing Materials and Business Resources
Cavadi Content Creation retains ownership of its pre-existing materials, resources, templates, processes, systems, methodologies, know-how, research techniques, and other materials developed independently of a particular client assignment.
Unless expressly agreed otherwise, the client’s rights to a completed deliverable do not include ownership of Cavadi Content Creation’s general business methods, templates, tools, or other pre-existing materials.
Nothing in these Terms prevents Cavadi Content Creation from using general knowledge, skills, experience, ideas, techniques, and know-how acquired through its work, provided that Cavadi Content Creation does not disclose the client’s confidential information or improperly use the client’s protected intellectual property.
10. Portfolio and Promotional Use
Unless the parties agree otherwise in writing, Cavadi Content Creation may identify completed work as part of its professional portfolio and may identify the client as a past or current client.
Cavadi Content Creation will not publicly disclose confidential information merely for portfolio purposes.
If a client requires that an assignment remain confidential or that Cavadi Content Creation not identify the client or work publicly, the client should communicate that requirement before the assignment begins.
11. Confidential Information
Cavadi Content Creation will make reasonable efforts to protect confidential information provided by clients.
Confidential information does not include information that:
- Is or becomes publicly available through no fault of Cavadi Content Creation;
- Was already lawfully known to Cavadi Content Creation;
- Is independently developed without use of the client’s confidential information;
- Is lawfully received from another source without a duty of confidentiality; or
- Must be disclosed by law, court order, or governmental authority.
If an assignment requires heightened confidentiality, the parties may enter into a separate nondisclosure or confidentiality agreement.
12. Client-Provided Materials and Indemnification
The client represents that it has the necessary rights, permissions, and authority to provide any text, photographs, documents, data, trademarks, images, research, or other materials supplied to Cavadi Content Creation for use in an assignment.
The client is responsible for claims arising from materials supplied by the client or instructions requiring Cavadi Content Creation to use such materials.
To the extent permitted by applicable law, the client agrees to indemnify and hold harmless Cavadi Content Creation and its owner from third-party claims arising directly from the client’s unauthorized materials, instructions, or representations.
13. Accuracy and Editorial Judgment
Cavadi Content Creation will make reasonable efforts to produce accurate, original, and professionally prepared work based upon the information and instructions provided for an assignment.
Unless specifically contracted to do so, Cavadi Content Creation does not provide legal, tax, medical, financial, regulatory, or other professional advice.
Clients are responsible for reviewing content before publication or use and obtaining any professional review appropriate to their circumstances.
14. Originality and Third-Party Materials
Cavadi Content Creation will make reasonable efforts to create original written content.
When an assignment requires third-party quotations, data, facts, sources, references, images, or other materials, the client understands that those materials may be subject to separate copyright, licensing, attribution, or other restrictions.
Unless expressly included in the scope of work, Cavadi Content Creation is not responsible for obtaining licenses for third-party materials.
15. Use of Artificial Intelligence and Other Tools
Cavadi Content Creation may use research tools, software, editing tools, and other technology in the course of performing services.
If an assignment contains specific requirements concerning artificial intelligence, automated tools, originality, authorship, or disclosure of tools used in production, those requirements should be communicated and agreed upon before the assignment begins.
Any client-specific restrictions regarding the use of such tools will be documented in the applicable Assignment Agreement when appropriate.
16. Deadlines
Cavadi Content Creation will make reasonable efforts to meet agreed deadlines.
A deadline may be extended when circumstances outside Cavadi Content Creation’s reasonable control interfere with completion, including delayed client responses, failure to provide necessary materials, illness, technical problems, emergencies, or other circumstances beyond reasonable control.
If a deadline becomes impractical, Cavadi Content Creation will make reasonable efforts to notify the client as soon as practicable.
17. Cancellation and Termination
Either party may request cancellation of an assignment before completion.
If a client cancels an assignment after work has begun, the client remains responsible for payment for work reasonably completed and approved expenses incurred through the effective date of cancellation.
If the parties have agreed to a nonrefundable deposit, cancellation fee, kill fee, or other cancellation arrangement, that arrangement will be governed by the applicable Assignment Agreement.
Cavadi Content Creation may decline or terminate an assignment when circumstances make continued performance unreasonable, unlawful, unsafe, or inconsistent with these Terms.
18. Right to Decline Assignments
Cavadi Content Creation reserves the right to decline an assignment or request for services for any lawful reason.
Cavadi Content Creation may decline work that it reasonably believes would require unlawful conduct, plagiarism, copyright infringement, deception, fabrication of information, or other conduct inconsistent with its professional standards.
19. Website Use
The content of this website is provided for general informational purposes.
You may not use the website to:
- Violate applicable law;
- Attempt to gain unauthorized access to the website or its systems;
- Introduce malicious code or harmful material;
- Copy or reproduce website content for commercial purposes without permission; or
- Interfere with the operation or security of the website.
Cavadi Content Creation reserves the right to modify, suspend, or discontinue the website or any portion of it at any time.
20. Intellectual Property in This Website
Unless otherwise indicated, the website and its original content, branding, text, graphics, logos, and other materials are owned by or licensed to Cavadi Content Creation and are protected by applicable intellectual-property laws.
You may not reproduce, republish, distribute, modify, or commercially exploit website content without prior written permission, except as permitted by law.
21. Third-Party Websites and Services
The website may contain links to third-party websites or services.
Cavadi Content Creation does not control and is not responsible for the content, policies, security, availability, or practices of third-party websites.
Visiting or using third-party websites is subject to those parties’ own terms and policies.
22. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the website and services are provided without warranties beyond those expressly stated in an applicable Assignment Agreement.
Cavadi Content Creation does not guarantee that:
- The website will always be available or error-free;
- Content will produce a particular business, financial, search-engine, marketing, publishing, or other result;
- A client’s content will be accepted or published by a particular publication or platform; or
- A particular audience, traffic level, revenue level, ranking, engagement level, or other outcome will be achieved.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Cavadi Content Creation will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website or services.
To the maximum extent permitted by applicable law, Cavadi Content Creation’s total liability arising from a particular assignment will not exceed the amount actually paid to Cavadi Content Creation for that assignment.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
24. Dispute Resolution
The parties agree to make a good-faith effort to resolve disputes informally before initiating litigation.
If a dispute cannot be resolved informally, the dispute will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
Any court proceeding arising from these Terms or an Assignment Agreement shall be brought in a court of competent jurisdiction in Georgia, unless applicable law requires otherwise.
The parties may agree in writing to mediation or arbitration for a particular dispute or assignment.
25. Changes to These Terms
Cavadi Content Creation may update these Terms from time to time.
The revised Terms will become effective when posted on the website, unless a different effective date is stated.
Changes to these website Terms will not retroactively modify the material terms of an existing Assignment Agreement unless the parties expressly agree otherwise in writing.
26. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect to the fullest extent permitted by law.
27. Entire Agreement
These Terms, together with any applicable Assignment Agreement, proposal, statement of work, or other written agreement between the parties, constitute the agreement governing the applicable services.
No oral statement will modify the material terms of an assignment unless confirmed in writing by the parties.
28. No Waiver
A failure by Cavadi Content Creation to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.
